Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Desked.ai AI chatbot management platform and related services (the “Platform”). By accessing or using the Platform, you (“Client” or “you”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.

2. Description of the Service

Desked.ai provides a multi-tenant AI chatbot management platform that enables businesses to configure, operate, and monitor automated customer conversations across messaging channels including WhatsApp, Instagram, and Facebook Messenger. The Platform includes features such as persona configuration, knowledge-base-grounded AI responses, a unified human-agent inbox, customer relationship management (CRM), and analytics.

3. Accounts and Eligibility

To use the Platform you must be at least 18 years old and capable of entering a binding contract. Clients are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under their account. You must notify us immediately of any unauthorized access.

Accounts are created through our onboarding process. We reserve the right to refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms or applicable law.

4. Acceptable Use

You agree not to use the Platform to:

  • Send unsolicited bulk messages, spam, or communications that violate the WhatsApp Business Messaging Policy, Instagram Platform Policy, or Facebook Platform Terms.
  • Harass, threaten, defraud, or deceive end-users, or engage in any illegal, abusive, or harmful conduct.
  • Process Personal Data in violation of applicable data protection laws, including Malaysia's Personal Data Protection Act (PDPA).
  • Attempt to reverse-engineer, decompile, or extract the source code of the Platform.
  • Upload content you do not have the right to distribute, or content that infringes third-party intellectual property rights.
  • Interfere with Platform security, bypass access controls, or attempt to perform prompt injection or other adversarial attacks on the AI system.

5. Client Data and Content

Clients retain ownership of all data and content they upload to the Platform (“Client Content”), including business information, knowledge base entries, product catalogues, and conversation records. Clients grant Desked.ai a limited, worldwide, non-exclusive license to process Client Content solely for the purpose of operating and improving the Platform.

Clients are solely responsible for the accuracy, legality, and appropriateness of Client Content and for obtaining any consents required from end-users in connection with processing their Personal Data.

6. Third-Party Services

The Platform integrates with third-party services, including but not limited to Meta Platforms (WhatsApp Business Platform Cloud API, Instagram Graph API, Facebook Messenger API), OpenAI, and cloud infrastructure providers. Use of the Platform is additionally subject to the terms and policies of those third-party services, and we are not responsible for their availability or conduct.

7. Fees and Payment

Access to the Platform is provided under a commercial agreement between Desked.ai and each Client. Fees, billing cycles, and payment terms are set out in the applicable order form or written agreement. Fees are non-refundable except as expressly stated.

8. Intellectual Property

The Platform, including its software, design, and documentation, is owned by Desked.ai and protected by intellectual property laws. These Terms do not grant Clients any right, title, or interest in the Platform other than the limited right to use it in accordance with these Terms.

9. Privacy

Our collection, use, and disclosure of Personal Data is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Service Availability and Disclaimer

We strive to provide reliable service but do not guarantee uninterrupted availability. The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

AI-generated responses are based on probabilistic models and may occasionally produce inaccurate or inappropriate output. Clients are responsible for reviewing and managing AI interactions with their end-users.

11. Limitation of Liability

To the maximum extent permitted by law, Desked.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the Platform.

Our total cumulative liability to a Client under these Terms shall not exceed the fees paid by that Client to Desked.ai in the twelve months immediately preceding the event giving rise to the claim.

12. Indemnification

Clients agree to indemnify and hold harmless Desked.ai, its officers, employees, and contractors from any claims, losses, damages, or expenses (including reasonable legal fees) arising out of or related to Client Content, Client's use of the Platform, or Client's violation of these Terms or applicable law.

13. Termination

Either party may terminate these Terms at any time in accordance with the applicable commercial agreement. Upon termination, Clients' access to the Platform will cease, and Clients may request an export of their data subject to technical feasibility. We reserve the right to suspend or terminate accounts immediately in the event of material breach of these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia, without regard to its conflict-of-laws principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

15. Changes to These Terms

We may update these Terms from time to time. We will notify Clients of material changes by posting the revised Terms on this page and updating the “Last Updated” date above. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
